At a Glance: Listed vehicle with no revenue and no active program | Capital raise target: $25M equity | Debt facility designed: $250M | Enterprise value model: $1.25B - $2.5B | Acquisition model: 50/50 JV, 20% cash entry | Timeline to Stock Exchange intent: 6 months
The Situation
The client is a listed technology holding company seeking to transform a dormant vehicle into an active acquisition platform. Despite operating for several years, the business had no substantive operating revenue and no active acquisition program. The institutional interest was minimal, and shareholders had received no credible update on strategic direction.
The founders held proprietary technology assets that had been developed outside the proposed listed vehicle during this period. These assets needed to be brought into the company as the foundation of a credible go-forward story.
The risk of continued inaction was compounding. Without a plan, the company's ability to raise capital at an acceptable price, attract quality acquisition targets, and maintain broker support was deteriorating each quarter.
The Brief
Fixer48 was engaged to design and document a complete acquisition and capital strategy capable of being presented to the board for adoption, and to position the company for significant growth within 12 to 18 months.
The brief covered four areas:
The Approach
Rather than a high-level strategy deck, Fixer48 built a full working plan with every component stress-tested against the client's actual constraints: a capital-constrained business, founders with assets to contribute, and a Stock Exchange Listing as the commercial destination.
The 50/50 JV Acquisition Model
The central design challenge was how a company with no meaningful cash could acquire revenue-generating businesses of scale. The answer was a 50/50 Joint Venture structure where the business acquires a controlling 50% stake with a 20% cash deposit, issuing listed shares for the remaining 30% of enterprise value. This allows the $250 million debt facility to acquire $1.25 billion of enterprise value - a 5x leverage ratio that sequential full acquisitions could never achieve.
The model also addressed seller motivation directly. Rather than asking founders to sell outright, the JV retains their operational involvement, preserves their 50% economic interest, and gives them a contractual path to a Stock Exchange re-rating with a built-in listing guarantee protecting their downside.
The Capital Structure
The valuation chain was designed to be internally consistent throughout: a $25 million equity raise priced at $4.00 per share, aligned with acquisition share consideration, sitting 20% below a $5.00 Stock Exchange floor listing price derived from $2.5 billion in market capitalisation across 500 million shares. Each number derives from the previous one, giving the board and investors a clear, auditable logic.
The Vend-In Framework
Before external acquisitions, the plan addressed the founder-held assets directly. A structured vend-in at independently assessed book value - shares only, no cash - was designed to demonstrate founder conviction, establish the JV mechanics in a low-friction environment, and give the company a tangible product story for the capital raise. The plan also identified a material trademark risk in one asset's name and recommended three resolution paths before the vend-in proceeded.
Acquisition Target Framework
Five acquisition categories were defined and prioritised: B2B platform suppliers, performance media and affiliate groups, content suppliers, broad B2B technology groups, and large private operators. The first two were designated primary targets for the 0-90 day window, with a detailed 90-day shortlist identifying four target groups with approach strategies and first-step actions.
Challenge and Outcome
Key Challenges Addressed
How does a capital-constrained listed shell acquire quality businesses at scale without diluting existing shareholders?
How do you convince profitable private businesses to accept shares in a company with no revenue as partial consideration?
How do you price a capital raise at a credible level when there is no current earnings story to support the valuation?
How do you manage the related party complexity of vending founder assets into a listed vehicle?
What Fixer48 Delivered
A 50/50 JV model enabling 5x leverage on deployed capital, securing controlling interests in businesses with $1.25 billion combined enterprise value from a $250 million facility.
A binding Stock Exchange listing performance guarantee embedded in every JV agreement, converting speculative equity into bounded risk with a contractual backstop.
A sequential valuation chain linking the $4.00 raise price, acquisition share consideration, and $5.00 Stock Exchange floor price to a verifiable $2.5 billion market capitalisation.
A clear vend-in framework with governance safeguards, related party disclosures, and trademark risk resolution options.
The Deliverable
Fixer48 produced a 30-page board-confidential Acquisition and Capital Plan covering the situation assessment, strategic thesis, acquisition model, capital structure, vend-in framework, acquisition category priorities, a 90-day target shortlist, governance requirements, a six-month execution timeline, shareholder value creation analysis, risk register, and an immediate board action plan.
The document was structured for board adoption and external use with capital raise investors and acquisition targets. Every section was written to commercial standards - evidence-based, internally consistent, and designed to withstand scrutiny from institutional investors and legal counsel.
"The plan is sound. The sector opportunity is real. The JV structure is genuinely advantaged for quality sellers who want liquidity without the discount of a private sale." From the Acquisition and Capital Plan conclusion
